These Terms of Service (“Terms”) govern your use of Dezio (“Service”), operated by Dezio (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Dezio is a software-as-a-service platform that allows interior designers and home builders to create, organize, and share material and tile selection sheets with their clients. The Service includes project management, image uploading, selection sheet generation, client sharing via link, client approval workflows, and related tools.
Dezio is not a legal contract advisor and does not provide legal, design, construction, or business advice. Nothing in the Service or any output generated by the Service constitutes legal advice. You are responsible for consulting qualified legal counsel regarding the enforceability and sufficiency of any selection sheet, approval, or document you create or send using the Service.
You must be 18 years or older to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@getdezio.com if you suspect unauthorized access.
Dezio offers free and paid subscription plans. Paid plans are billed monthly or annually as selected at checkout. All fees are charged in USD.
Auto-Renewal. Paid subscriptions automatically renew at the end of each billing period unless you cancel before the next billing date.
Cancellation. You may cancel your paid subscription at any time through your account settings. Cancellation stops future billing. You will retain access to paid features through the end of your current paid billing period. We do not provide refunds or credits for partial periods, except where required by applicable law.
Price Changes. We reserve the right to change pricing with 30 days’ advance notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
Non-Payment. Failure to pay will result in downgrade to the free plan at the end of the billing period.
You agree not to: (a) use the Service for any unlawful purpose; (b) send unsolicited or misleading communications to clients; (c) upload malicious code or attempt to interfere with the Service; (d) resell or sublicense access to the Service without written permission; or (e) misrepresent your identity or affiliation in selection sheets sent through the Service.
You retain ownership of all content you create using Dezio, including projects, selection sheets, client data, company information, and uploaded images and logos. You grant Dezio a limited license to store and transmit this content solely to provide the Service.
We do not sell your content. We may use trusted third-party service providers to host, store, transmit, process, or support your content solely as necessary to operate and improve the Service, as described in our Privacy Policy.
When you enter client information (names, emails, phone numbers, addresses) into Dezio, you represent that you have a legitimate business relationship with those individuals and the right to use their information for the purpose of sharing selection sheets. You are responsible for your own compliance with applicable data protection laws, including obtaining any required consent before contacting clients electronically.
Dezio allows your clients to review and submit an approval or revision request on selection sheets through the Service. By using the client approval feature, you acknowledge that:
When clients submit information through the Service (including approvals or revision requests), they consent to receiving electronic communications related to the selection sheet you have shared with them.
You are solely responsible for the accuracy, completeness, and legality of all selection sheets, project data, and documents you create and share through the Service. This includes but is not limited to:
Dezio is a tool to help you create and share selection documents — it does not review, verify, or take responsibility for the content of any selection sheet you generate.
Dezio and its logos, software, design, and content are owned by Dezio and protected by copyright and trademark law. Nothing in these Terms grants you ownership of any Dezio intellectual property.
The Service integrates with or relies on third-party services, including but not limited to Supabase (database, authentication, and file storage) and Vercel (hosting infrastructure). Your use of these third-party services may be subject to their own terms and privacy policies.
We are not responsible for the availability, accuracy, security, or performance of any third-party service. Outages, failures, or data breaches caused by third-party providers are outside our control, and Dezio shall not be liable for any loss or damage arising from such events. We will make reasonable efforts to notify you of known third-party service disruptions that materially affect your use of the Service.
We strive for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that affect paid subscribers.
Beta Features. We may offer features designated as “beta,” “preview,” or “early access.” These features are provided as-is, may be unstable, and may be modified or discontinued without notice. Beta features are not covered by any service level commitments.
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT ANY SELECTION SHEET SHARED THROUGH THE SERVICE WILL RESULT IN A SIGNED CONTRACT OR LEGALLY BINDING AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEZIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
WITHOUT LIMITING THE FOREGOING, DEZIO SHALL NOT BE LIABLE FOR ANY DISPUTES BETWEEN YOU AND YOUR CLIENTS ARISING FROM OR RELATED TO ANY SELECTION SHEET CREATED THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO DISPUTES REGARDING MATERIAL SELECTIONS, SPECIFICATIONS, PRICING, APPROVALS, OR PROJECT OUTCOMES.
You agree to indemnify and hold harmless Dezio and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney’s fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) the content of any selection sheet you create or share using the Service; or (d) any dispute between you and any of your clients.
You may cancel your account at any time through your account settings. We may suspend or terminate your account for violation of these Terms, non-payment, or any other reason with reasonable notice.
Data Retention and Deletion. Upon account termination or cancellation, your access to the Service ceases at the end of your current billing period (or immediately, in the case of termination for cause). We will retain your data for 30 days following the end of your access period, after which we may permanently delete your account data.
Your Responsibility to Export. You are solely responsible for exporting any projects, selection sheets, or other data you wish to retain before your account is terminated or your access period ends. Dezio is not responsible for any data lost because you did not export it prior to account closure.
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Fulton County, Georgia.
We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
